These Electronic Signature Terms for Signers (“Terms”) govern your access to and use of the electronic signature process made available by Block Imaging Parts & Service, LLC (“Block Imaging”) in connection with documents sent for review, acknowledgement, approval, or signature through Adobe Acrobat Sign or a similar electronic signature platform (“E-Sign Service”).
By accessing or using the E-Sign Service in connection with a document sent by or on behalf of Block Imaging, including by clicking to review, acknowledge, accept, or sign a document electronically, you agree to these Terms.
1. Scope
These Terms apply to your use of the E-Sign Service in connection with documents sent by or on behalf of Block Imaging. These Terms govern the electronic signing process only and do not replace the terms of any contract, order, statement of work, amendment, notice, or other document you are asked to sign.
2. Consent to Electronic Transactions
You agree that:
- you may receive documents, notices, disclosures, and records electronically;
- your electronic signature, click-through approval, or other electronic action may be used to indicate your review, acknowledgement, acceptance, approval, or signature; and
- electronic records and signatures will have the same force and effect as paper documents and handwritten signatures, to the extent permitted by applicable law.
If you do not wish to transact electronically for a particular document, do not sign electronically and contact the sender.
3. Authority
If you are signing on behalf of a company, organization, or other legal entity, you represent that:
- you are authorized to act on behalf of that entity; and
- your electronic signature binds that entity to the same extent as a handwritten signature would.
If you are not authorized, you must not sign the document.
4. Identity and Accuracy of Information
You agree to provide accurate, current, and complete information requested as part of the signing process. You are responsible for reviewing the document before signing and for confirming that the email address, name, title, phone number, and any other information associated with your signature are accurate, complete, and current.
5. System and Access Requirements
To use the E-Sign Service, you must have:
- access to the internet;
- a current version of a compatible web browser or mobile device;
- the ability to open, read, and retain electronic documents; and
- an email account or other method used to access the signing request.
You are responsible for your own hardware, software, internet access, security protections, and any associated charges.
6. Copies and Record Retention
You should download, print, or otherwise retain a copy of any signed document for your records. Availability of signed documents through the E-Sign Service may be time-limited, and Block Imaging does not guarantee indefinite online storage unless expressly agreed in writing.
7. Security of the Signing Process
You are responsible for maintaining the security and confidentiality of your email account, devices, passwords, authentication codes, and any links or credentials used to access documents for signature. You are responsible for activities conducted through your email account or credentials to the extent resulting from your failure to maintain their security or confidentiality.
You must notify Block Imaging promptly if you believe:
- a signing request was sent to you in error;
- your access credentials were compromised;
- a document was altered unexpectedly; or
- an unauthorized person may have accessed or signed using your information.
You should close your browser or application session when you finish using the E-Sign Service on a shared or unsecured device.
8. Audit Trail and Electronic Evidence
You acknowledge that the E-Sign Service may create and retain electronic records associated with the signing process, including your name, role or title, email address, phone number, IP address, timestamps, authentication events, document history, and other transaction metadata used to verify the signing process.
Where used, authentication methods may include email verification, access links, one-time passcodes, text message verification, voice call verification, or similar identity-confirmation measures.
To the extent permitted by law, these records may be used to demonstrate the validity of the electronic process and may be admissible as evidence in the event of a dispute. Electronic copies of signed documents, and printouts or reproductions of those copies, will be deemed originals to the fullest extent permitted by applicable law.
9. Permitted Use
You may use the E-Sign Service solely for legitimate business purposes related to the document presented, including signing, reviewing, acknowledging, approving, completing, or delegating that document as permitted by Block Imaging.
10. Prohibited Use
You agree not to:
- impersonate another person or misrepresent your identity or authority;
- interfere with or disrupt the E-Sign Service;
- attempt to gain unauthorized access to documents, accounts, or systems;
- upload, submit, or transmit unlawful, infringing, malicious, fraudulent, or unauthorized content;
- introduce malware, viruses, or other harmful code; or
- use the E-Sign Service for unlawful, abusive, or unauthorized purposes.
11. Third-Party Platform
Block Imaging may use Adobe Acrobat Sign or another third-party provider to facilitate electronic signatures. Your use of the signing experience may also be subject to that provider’s applicable terms, notices, privacy disclosures, and technical requirements. Block Imaging is not responsible for the independent acts or omissions of third-party providers except as required by law or as expressly agreed in writing.
12. Disclaimer Regarding Service Availability
The E-Sign Service is provided on an “as available” basis. Block Imaging does not guarantee uninterrupted availability, error-free operation, or that the E-Sign Service will be available at any particular time. Temporary delays, outages, technical failures, or harmful components may occur despite reasonable precautions, and you are responsible for using appropriate security protections on your own systems and devices.
13. Limitation of Liability
To the maximum extent permitted by law, Block Imaging will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the E-Sign Service, including loss of data, delay, interruption, or unauthorized access, except to the extent caused by Block Imaging’s willful misconduct or other liability that cannot be excluded under applicable law.
14. Privacy
Information collected in connection with the signing process may include contact information, signature-related metadata, device and usage information, authentication data, and document transaction history. Block Imaging will handle personal information in accordance with its applicable privacy notice: www.blockimaging.com/terms/privacy-policy. Adobe or other third-party providers may process information in accordance with their own applicable privacy notices and terms.
15. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles, except to the extent another governing law is required under the contract being signed or applicable law.
16. Conflicts with Signed Agreement
If there is a conflict between these Terms and the specific written agreement being signed, the terms of the signed agreement will control with respect to the subject matter of that agreement. These Terms govern only the use of the electronic signing process unless the signed agreement expressly states otherwise.
17. Changes
Block Imaging may update these Terms from time to time for future transactions. The version presented or referenced at the time of signing will apply to that signing transaction.
